7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND APPLICABLE STATE CONSUMER PROTECTION STATUTES, IN NO EVENT SHALL PIZZA FACTORY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

- ANY BUGS, VIRUSES, OR OTHER HARMFUL ELEMENTS TRANSMITTED THROUGH THE WEBSITE BY ANY THIRD PARTY.
IN ALL CASES, PIZZA FACTORY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT YOU PAID TO PIZZA FACTORY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some states do not allow the exclusion or limitation of certain damages. In such states, our liability shall be limited to the greatest extent permitted by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Pizza Factory, its parent company (if any), subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Pizza Factory's principal place of business is located, without regard to any conflict of law principles that would require or permit the application of the laws of any other jurisdiction.
For consumers located in the State of California, these Terms shall also be interpreted and enforced in compliance with applicable California state law, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), California's Unfair Competition Law (Business and Professions Code § 17200 et seq.), and the California Consumer Legal Remedies Act (Civil Code § 1750 et seq.) where applicable.
Subject to the dispute resolution provisions set forth below, any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the federal or state courts of competent jurisdiction in the United States. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
10. Dispute Resolution
10.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact Pizza Factory at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. Pizza Factory will attempt to resolve the dispute informally within thirty (30) days of receipt of your written notice. This informal dispute resolution process is a prerequisite to initiating any arbitration or litigation.
10.2 Binding Arbitration
If the dispute cannot be resolved informally within thirty (30) days, you and Pizza Factory agree to resolve any and all disputes, claims, or controversies arising out of or relating to these Terms, the Website, or the Services exclusively through final and binding arbitration, rather than in court, except as otherwise provided herein. The arbitration shall be conducted by a recognized arbitration organization under its then-current rules and procedures. The arbitration shall be conducted in English and shall take place in the United States. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
10.3 Class Action Waiver
YOU AND PIZZA FACTORY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
10.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.
10.5 Opt-Out Right
You have the right to opt out of the binding arbitration and class action waiver provisions within thirty (30) days of first accepting these Terms by sending written notice to [email protected] with the subject line "Arbitration Opt-Out." If you opt out, neither party will be required to participate in binding arbitration with respect to disputes between you and Pizza Factory, and such disputes shall be resolved in the courts described in Section 9.

11.2 Termination by You
You may terminate your account and cease use of the Services at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment for any outstanding orders.
11.3 Termination by Pizza Factory
Pizza Factory reserves the right, in its sole discretion, to suspend or terminate your access to the Website and Services, with or without notice and without liability to you, for any reason, including but not limited to:

12. Changes to Terms
Pizza Factory reserves the right to modify, update, or replace these Terms at any time in its sole discretion. 14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect.
The parties agree that, to the extent any provision of these Terms is found to be void or unenforceable, the intent of the parties as expressed in the remaining provisions should be given full effect.
15. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference herein, constitute the entire agreement between you and Pizza Factory with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, warranties, and communications, both written and oral, between you and Pizza Factory regarding such subject matter.
No waiver by Pizza Factory of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Pizza Factory to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
16. Force Majeure
Pizza Factory shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, civil unrest, war, terrorism, labor disputes, power outages, internet or telecommunications failures, supply chain disruptions, or any other event that constitutes a force majeure event under applicable law. In such circumstances, Pizza Factory's obligations shall be suspended for the duration of the force majeure event.
17. Miscellaneous
17.1 No Agency Relationship
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, franchise, or agency relationship between you and Pizza Factory. You do not have the authority to bind Pizza Factory to any obligation.
17.2 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Pizza Factory. Pizza Factory may freely assign or transfer these Terms without restriction. Any assignment in violation of this Section shall be null and void.
